Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and KenzNote, Inc. ("KenzNote", "we", "us", or "our") governing your access to and use of the KenzNote platform, including our web application, browser extensions, mobile applications, APIs, and related services (collectively, the Service).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

CORPORATE USER AUTHORITY:

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY (A "CORPORATE USER"), YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY, ITS AFFILIATES AND ALL USERS WHO ACCESS OUR SERVICES THROUGH YOUR ACCOUNT TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY, ITS AFFILIATES AND USERS ASSOCIATED WITH IT. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES.

Important Notice: These Terms contain provisions regarding recording consent, limitation of liability, arbitration of disputes, and class action waiver. Please read carefully.

Changes to Terms:

If KenzNote makes material changes to these Terms, we will notify you by email or by posting a notice on our Service before the changes are effective. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms at any time at: https://kenznote.com/terms

Violation of any of the terms below will result in the termination of your Account. You agree to use the Service at your own risk.


1. Service Description

1.1 What KenzNote Does

KenzNote is an AI-powered meeting assistant that provides:

  • Automated Transcription – Converts meeting audio into text
  • Intelligent Summaries – Generates concise summaries and key takeaways
  • Action Item Extraction – Identifies tasks, decisions, and follow-ups
  • Smart Organization – Search, tag, and organize meetings
  • Team Collaboration – Share notes and collaborate with teams
  • Integrations – Connect with calendars, CRM, and productivity tools

1.2 What KenzNote Does Not Do

KenzNote assists with meeting documentation only. We do not:

  • Guarantee 100% accuracy of transcripts or summaries
  • Provide legal advice regarding recording consent
  • Verify that you obtained proper recording consent
  • Replace professional judgment or legal counsel
  • Store recordings indefinitely (retention limits apply by plan)

1.3 Service Availability

We strive to provide reliable service, but we do not guarantee:

  • Uninterrupted or error-free operation
  • Compatibility with all devices or networks
  • Availability during maintenance or emergencies

Service Level Agreement (SLA):
Available for Enterprise customers only and governed by the Enterprise Agreement.


2. Account Registration and Eligibility

2.1 Account Requirements

To use the Service, you must:

  • Be at least 16 years old (18 in some jurisdictions)
  • Be a human – Accounts registered by "bots" or other automated methods are not permitted
  • Provide accurate information – You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process
  • Maintain account security – Keep your password and credentials confidential
  • Have legal authority to accept these Terms

Account Restrictions:

  • Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows
  • One person or legal entity may not maintain more than one free account
  • You must not use the Service for any illegal or unauthorized purpose
  • You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws)

2.2 Account Types

Individual Accounts

  • Personal use
  • You are responsible for all activity on your account

Team Accounts

  • Multiple users under one organization
  • Admins are responsible for team compliance
  • Separate logins for each team member

Enterprise Accounts

  • Governed by a separate Enterprise Agreement
  • Enterprise Agreement supersedes these Terms if conflicts arise
  • Custom features and SLAs available

2.3 Account Security

Your Responsibilities:

  • You are responsible for maintaining the security of your account and password
  • KenzNote cannot and will not be liable for any loss or damage from your failure to comply with this security obligation
  • Keep credentials confidential
  • Use strong passwords
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access at [email protected]
  • You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account)

Our Responsibilities:

  • Implement reasonable security measures
  • Provide security tools (2FA, login history)
  • Notify you of suspicious activity

2.4 Prohibited Users

You may not create an account if you:

  • Are under the minimum age (16 years old)
  • Have been banned previously from the Service
  • Are prohibited by law from using the Service
  • Are located in a sanctioned or embargoed jurisdiction

3. Recording Consent and Legal Compliance

3.1 Your Responsibility to Obtain Consent

YOU ARE SOLELY RESPONSIBLE FOR OBTAINING ALL NECESSARY CONSENTS.

By recording meetings, you represent that:

  • All participants consented
  • Applicable laws were followed
  • Participants were clearly notified

3.2 Recording Laws Vary by Jurisdiction

United States

  • One-party consent states
  • All-party consent states
  • Federal wiretapping laws may apply

European Union

  • GDPR requires explicit, informed consent
  • Consent must be obtained before recording

Other Jurisdictions

  • Laws vary widely
  • Cross-border meetings may trigger stricter rules

We strongly recommend consulting legal counsel.


3.3 Compliance Tools We Provide

  • Visual recording indicators
  • Consent banners (Enterprise)
  • Consent logs (Enterprise)
  • Disclaimer templates

These tools assist compliance but do not guarantee it.


3.4 Disclaimer of Responsibility

KenzNote is not responsible for recording consent failures.

You agree that:

  • KenzNote is not a party to recordings
  • You assume all legal risk
  • You will indemnify KenzNote for consent-related claims

3.5 Prohibited Recording Activities

You may not:

  • Record without consent where required
  • Record minors without authorization
  • Record confidential or illegal content
  • Use recordings for harassment, fraud, or coercion

Violations may result in immediate termination.


3.6 Third-Party Meeting Platforms

You must also comply with third-party platform rules (Zoom, Google Meet, Teams, etc.).


4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service for lawful:

  • Business meetings and collaboration
  • Educational purposes (lectures, seminars, training)
  • Personal use (interviews, podcasts, personal notes)

4.2 Prohibited Uses and Content Standards

As part of your use of the Service, you agree not to do any of the following:

Prohibited Content

Post, upload, publish, submit or transmit any Content that:

  1. Infringes intellectual property rights – Infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy
  2. Violates laws – Violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability
  3. Is fraudulent or deceptive – Is fraudulent, false, misleading or deceptive
  4. Is defamatory or offensive – Is defamatory, obscene, pornographic, indecent, abusive, hateful, inflammatory, vulgar, offensive or otherwise objectionable
  5. Promotes discrimination or hate – Promotes sexually explicit or pornographic material, or discrimination, bigotry, racism, hatred, harassment or harm against any individual or group including but not limited to race, sex, religion, nationality, disability, sexual orientation, or age
  6. Is violent or threatening – Is violent or threatening or promotes violence or actions that are threatening to any person or entity
  7. Promotes illegal activities – Promotes illegal or harmful activities or substances or advocates, promotes or assists any unlawful act
  8. Causes annoyance or anxiety – Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person
  9. Is deceptive or impersonates others – Is likely to deceive any person, or impersonate any person, or misrepresent your identity or affiliation with any person or organization
  10. Involves unauthorized commercial activities – Involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising
  11. Falsely implies endorsement – Gives the impression that it emanates from or is endorsed by us or any other person or entity, if this is not the case
  12. Is otherwise objectionable – Is, in KenzNote's sole discretion, objectionable or exposes Users to harm or liability

Prohibited Technical Activities

You must not:

  1. Screenshot, copy, or mirror the Service – Use, display, screenshot, copy, upload, transmit, mirror or frame the Service, or any individual element within the Service, KenzNote's name, any KenzNote trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without KenzNote's express written consent
  2. Excessive or abusive use – Use the Service in any way which is, in KenzNote's reasonable determination, excessive, abnormal, or abusive
  3. Access non-public areas – Access, tamper with, or use non-public areas of the Service, KenzNote's computer systems, or the technical delivery systems of KenzNote's providers, or otherwise attempt to do any of the foregoing
  4. Test vulnerabilities or breach security – Attempt to probe, scan, or test the vulnerability of any KenzNote system or network or breach any security or authentication measures
  5. Circumvent technological measures – Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by KenzNote or any of KenzNote's providers or any other third party (including another user) to protect the Service
  6. Use automated tools – Attempt to access or search the Service or download Content from the Service through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by KenzNote or other generally available third party web browsers
  7. Use hidden metadata – Use any meta tags or other hidden text or metadata utilizing a KenzNote trademark, logo URL or product name without KenzNote's express written consent
  8. Forge headers – Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Service to send altered, deceptive or false source-identifying information
  9. Reverse engineer – Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Service
  10. Interfere with service – Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, Trojan horses, worms, logic bombs, overloading, flooding, spamming, or mail-bombing the Service or otherwise introduce other material that is malicious or technologically harmful
  11. Collect personal information – Collect or store any personally identifiable information from the Service from other Users of the Service without their express written permission or as otherwise provided for in these Terms
  12. Send spam – Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail or junk messages, spam, chain letters or other form of solicitation
  13. Upload invalid data or malware – Knowingly upload invalid data, viruses, worms, or other software agents through the Service

Other Prohibited Conduct

You must not:

  1. Harass or threaten others – Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as of privacy and publicity) of any other user of the Service or staff member of KenzNote
  2. Use for unauthorized third-party benefit – Use the Service for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms
  3. Impersonate others – Impersonate or misrepresent your affiliation with any person or entity
  4. Violate Corporate User policies – If you are affiliated with a Corporate User, use the Service in violation of such Corporate User's data retention, legal hold, or other policies and procedures
  5. Restrict others' enjoyment – Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm KenzNote or its Users, or expose them to liability
  6. Encourage violations – Encourage or enable any other individual or entity to do any of the foregoing
  7. Unauthorized use – Engage in any Unauthorized Use as defined in Section 4.4 below

4.3 Service Disruption and Prohibited Conduct

Prohibited Conduct:

In using our Services, users agree not to engage in any conduct that may interfere with the operation of the Service, the enjoyment of the Service by other users, or the ability of our staff to perform their duties. This includes, but is not limited to:

  • Making false accusations against staff members
  • Engaging in disruptive behavior
  • Otherwise acting in a manner that negatively impacts the Service or its community

Consequences:

Engaging in prohibited conduct may result in immediate corrective actions by KenzNote, including, but not limited to:

  • Temporary suspension of user access to the Service
  • Investigation of the conduct
  • Permanent termination of the user's account and ban from future use of the Service

Discretion:

KenzNote reserves the right to determine, in its sole discretion, what constitutes prohibited conduct and the appropriate measures to address it.


4.4 Unauthorized Use Provisions

Without limiting the generality of the previous sections, no provision of this Agreement includes the right to, and you will not, directly or indirectly:

(i) Attempt to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Service (ii) Take any action that imposes, or may impose at KenzNote's discretion, an unreasonable or disproportionately large load on KenzNote's infrastructure (iii) Knowingly upload invalid data, viruses, worms, or other software agents through the Service (iv) Enable any person or entity other than Authorized Users to access and use the Service or Technology (v) Modify or create any derivative work based upon the Service or Technology (vi) Engage in, permit or suffer to continue any copying or distribution of the Service or Technology (vii) Reverse engineer, disassemble or decompile all or any portion of, or attempt to discover or recreate the source code for, any software that is part of the Service or Technology (viii) Access the Service in order to build a competitive solution or to assist any third party to build a competitive solution (ix) Remove, obscure or alter any proprietary notice related to the Service or Technology (x) Engage in, permit or suffer to continue any use or other activity that is not expressly authorized under this Agreement by any person or entity within your control ("Unauthorized Use")

Consequences of Unauthorized Use:

In the event you violate any of the terms set forth in this Section, in addition to any other remedies available at law or in equity, KenzNote will have the right, in its discretion, to immediately suspend your and Authorized Users' use and access to the Service.


4.5 Enforcement and Investigations

KenzNote's Rights:

  • KenzNote will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law
  • KenzNote may involve and cooperate with law enforcement authorities and other third parties as appropriate in prosecuting or taking other related legal actions regarding Users who violate these Terms or violate laws including intellectual property rights or violations of privacy rights
  • You acknowledge that KenzNote has no obligation to monitor your access to or use of the Service, or to review, edit, or delete any Content, but it has the right to do so for the purpose of operating the Service, to ensure your compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body
  • Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party
  • We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section

Account Termination:

  • If you print, copy, modify, download, screenshot, post or otherwise use or provide any other person with access to any part of the Service in breach of the Terms, you must, at our option, return, takedown or destroy any copies, uploads, screenshots, posts, or other disclosures of the materials you have made
  • Any use of the Service not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any KenzNote customer, employee, member, or officer will result in immediate account termination.


5. Subscription Plans and Billing

5.1 Pricing Plans

KenzNote offers flexible pricing options to suit different usage needs:

Subscription Plan

  • Unlimited Plan – Unlimited meeting transcriptions for $29.99/month (or annual billing with savings)

Pay-As-You-Go Plans (One-Time Purchases)

Pay-as-you-go plans are one-time purchases and do not automatically renew. You purchase credits as needed:

  • Pay Per Meeting – $0.99 per meeting transcription

    • Minimum purchase: 5 meetings ($4.95)
    • Each meeting covers up to 2 hours of recording
    • Purchase as many meetings as you need (minimum 5)
    • Credits do not expire and do not auto-renew
  • Pay Per Hour – $0.99 per hour of transcription

    • Minimum purchase: 5 hours ($4.95)
    • Allows up to 20 concurrent bots (meetings) at once
    • Purchase as many hours as you need (minimum 5)
    • Credits do not expire and do not auto-renew

Free Plan

  • Free Plan – 2 meetings free transcription to test all features
    • No credit card required
    • Full access to all features for one meeting
    • No time limit or expiration

Important Notes on Pay-As-You-Go Plans:

  • These are not subscriptions – they are one-time credit purchases
  • You purchase credits in minimum increments of 5 (either 5 meetings or 5 hours)
  • Credits remain in your account until used
  • No automatic renewals or recurring charges
  • You can purchase additional credits anytime as needed

5.2 Payment Terms

Credit Card Requirements:

  • The Unlimited Plan (subscription) requires a valid payment method (credit card or other accepted payment methods)
  • Pay-as-you-go plans require payment information for one-time purchases only
  • Free accounts are not required to provide payment information

Payment Processing:

  • We use third-party payment processors to handle billing transactions securely
  • The specific payment processor will be disclosed during checkout
  • All payment information is processed in compliance with PCI-DSS standards
  • KenzNote does not store full payment card details

Billing Cycle:

For Unlimited Plan (Subscription):

  • The Service is billed in advance on a monthly or annual basis
  • Monthly subscriptions: charges recur on the same day each month
  • Annual subscriptions: charges recur on the anniversary of your subscription date
  • Subscriptions automatically renew unless canceled (see Section 5.2 Automatic Renewal below)

For Pay-As-You-Go Plans (One-Time Purchases):

  • You are charged once at the time of purchase
  • No recurring billing – these are one-time purchases only
  • Credits are added to your account immediately upon payment
  • You can purchase additional credits anytime without commitment

Taxes:

  • All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities
  • You shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes
  • We will add applicable taxes to your invoice where required by law

Automatic Renewal (Unlimited Plan Only):

  • Only the Unlimited Plan subscription will automatically renew at the end of each billing period unless you cancel
  • You authorize us to charge your payment method for the renewal
  • We will notify you before charging for renewal
  • Pay-as-you-go plans do NOT auto-renew – you must manually purchase additional credits when needed

5.3 Plan Changes (Upgrades and Downgrades)

For Unlimited Plan (Subscription) Only:

This section applies only to the Unlimited Plan subscription. Pay-as-you-go plans are one-time purchases and cannot be upgraded or downgraded.

Switching Between Billing Periods:

  • You may switch from monthly to annual billing (or vice versa)
  • Changes take effect at the start of your next billing cycle
  • Switching to annual billing provides cost savings

Upgrading from Free or Pay-As-You-Go to Unlimited:

  • Upgrade to Unlimited Plan takes effect immediately upon purchase
  • You will be charged the full subscription fee for the billing period (monthly or annual)
  • Any unused pay-as-you-go credits remain in your account and can still be used

Downgrading from Unlimited to Pay-As-You-Go:

  • Downgrade takes effect at the end of your current billing period
  • You will not be charged again after your current period ends
  • You can then purchase pay-as-you-go credits as needed
  • Downgrading may cause the loss of unlimited access to features
  • KenzNote does not accept any liability for such loss
  • We recommend downloading or backing up your data before downgrading

Pay-As-You-Go Plans:

  • Pay-as-you-go plans are one-time credit purchases
  • You can switch between "Pay Per Meeting" and "Pay Per Hour" at any time by purchasing the plan you need
  • Previously purchased credits remain available regardless of which pay-as-you-go plan you use next
  • Credits from different pay-as-you-go plans are kept separately in your account

Important: Changes to your subscription plan do not extend your billing cycle. Your renewal date remains the same.


5.4 Refund Policy

Non-Refundable Services:

All purchases are generally non-refundable. Refund policies differ based on plan type:

For Unlimited Plan (Subscription):

  • Subscription fees are billed in advance and are non-refundable
  • There will be no refunds or credits for:
    • Partial months or years of service
    • Unused subscription time with an open account
    • Service dissatisfaction
    • Downgrading to a pay-as-you-go plan mid-subscription

For Pay-As-You-Go Plans (One-Time Purchases):

  • Credit purchases are non-refundable once payment is processed
  • There will be no refunds for:
    • Unused credits remaining in your account
    • Credits you choose not to use
    • Service dissatisfaction after credits have been purchased
  • Exception: If you have not yet used any of the purchased credits, you may request a refund within 7 days of purchase by contacting [email protected]. Once any credits are used, the entire purchase becomes non-refundable.

In order to treat everyone equally, no exceptions will be made beyond those stated.

Exceptions:

  • Refunds may be provided where legally required (e.g., EU consumer withdrawal rights, regulatory requirements)
  • Erroneous charges will be refunded upon verification
  • Technical failures preventing service delivery may be refunded at our discretion

EU Consumer Rights:

  • EU consumers have a 14-day withdrawal right for online purchases under EU Consumer Rights Directive
  • To exercise this right, contact [email protected] within 14 days of purchase
  • For subscriptions: If you have used the Service during the withdrawal period, you may be charged a pro-rated amount for usage
  • For pay-as-you-go: If you have used any credits during the withdrawal period, you may be charged for credits used

5.5 Free Plan and Promotional Offers

Free Plan:

  • KenzNote offers 2 meetings free transcription to all new users
  • No credit card required to access the free meeting
  • The free meeting includes full access to all features (transcription, AI summary, action items, etc.)
  • No automatic upgrade – you will not be charged after using your free meeting
  • The free meeting does not expire
  • After using your free meeting, you can choose to purchase pay-as-you-go credits or subscribe to the Unlimited Plan

Promotional Offers:

  • Promotional pricing or discounts may be offered from time to time
  • Promotional terms will be specified in the offer
  • Promotions are subject to eligibility requirements and may not be combined with other offers unless explicitly stated
  • When a promotional period ends, standard pricing applies
  • Promotional offers may apply to subscriptions or pay-as-you-go purchases

5.6 Late Payments and Failed Charges

This section applies only to Unlimited Plan (Subscription). Pay-as-you-go purchases are processed immediately at checkout.

Payment Failures (Unlimited Plan):

  • If an automatic renewal payment fails, we will attempt to charge your payment method again
  • We may temporarily suspend your Unlimited Plan access until payment is received
  • You will be notified via email of failed payments
  • Your account will revert to pay-as-you-go access (using any remaining credits) if payment cannot be processed

Late Fees:

  • Late fees may apply to overdue subscription payments as permitted by law
  • Continued non-payment may result in:
    • Subscription cancellation
    • Loss of Unlimited Plan benefits
    • Account suspension or termination
    • Debt collection (if applicable)

Pay-As-You-Go Plans:

  • Pay-as-you-go purchases are processed immediately at the time of purchase
  • If payment fails, the purchase is not completed and credits are not added
  • No late fees apply to pay-as-you-go plans

5.7 Billing Disputes

If you believe you have been incorrectly billed, contact [email protected] within 30 days of the charge. We will investigate and respond promptly.


5a. Cancellation and Termination

5a.1 Cancellation by You

How to Cancel:

  • You can terminate your account at any time by emailing [email protected] with "Account Cancellation" in the subject line
  • You may also cancel through your account settings dashboard
  • You are solely responsible for properly canceling your account

Data Backup:

  • You are solely responsible for backing up and/or migrating any data hosted on your account before initiating the cancellation request
  • Contact [email protected] if you would like your Content to be immediately deleted from the Service
  • This information cannot be recovered once your Content is deleted

Effect of Cancellation:

  • If you cancel the Service before the end of your current paid period, your cancellation will take effect immediately and you will not be charged again
  • You will not receive a refund for the remaining period (see Section 5.4 Refund Policy)
  • Access to your account and Content will be terminated upon cancellation
  • We will retain certain data as required by law or our data retention policies (see Privacy Policy)

5a.2 Termination by KenzNote

Grounds for Termination:

KenzNote, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Service, for any reason at any time, including but not limited to:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent, illegal, or abusive activity
  • Excessive bandwidth or resource usage
  • Recording consent violations
  • Threats or abuse toward KenzNote staff or other users
  • Violation of third-party rights

Effect of Termination:

Such termination of the Service will result in:

  • The deactivation or deletion of your Account
  • Loss of access to your Account
  • The forfeiture and relinquishment of all Content in your Account

No Refunds: KenzNote will not provide refunds for accounts terminated due to violations of these Terms.

Right to Refuse Service: KenzNote reserves the right to refuse service to anyone for any reason at any time.


5a.3 Survival

Certain provisions of these Terms will survive termination, including:

  • Sections related to intellectual property
  • Payment obligations for services rendered
  • Indemnification obligations
  • Limitation of liability
  • Dispute resolution provisions

5b. Modifications to the Service and Prices

5b.1 Service Modifications

Right to Modify:

  • KenzNote reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice
  • We may add, remove, or change features, functionality, or limitations

No Liability:

  • KenzNote shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service
  • We will attempt to provide advance notice of material changes where feasible, but are not obligated to do so

Exceptions:

  • Enterprise customers may have different terms regarding service modifications per their Enterprise Agreement

5b.2 Price Changes

Notice of Price Changes:

  • Prices of all Services, including but not limited to monthly or annual subscription plan fees, are subject to change upon 30 days' notice from us
  • Such notice may be provided at any time by:
    • Posting the changes to the Service
    • Emailing you at your registered email address
    • In-app notification

Effect of Price Changes:

  • Price changes will take effect at the start of your next billing cycle after the notice period
  • If you do not agree with the price change, you may cancel your subscription before the new price takes effect
  • Continued use of the Service after the price change constitutes acceptance of the new pricing

No Liability:

  • KenzNote shall not be liable to you or to any third party for any price change

6. Intellectual Property Rights

6.1 Your Content

Ownership:

  • We claim no intellectual property rights over the Content you provide to the Service
  • Your profile and materials uploaded remain yours
  • You retain all ownership rights to your Content

License to KenzNote:

  • By uploading Content to the Service, you grant KenzNote a limited, worldwide, non-exclusive, royalty-free license to:
    • Store, process, and display your Content
    • Perform technical operations necessary to provide the Service (e.g., transcription, AI analysis, storage, backup)
    • Make your Content available to you and users you designate
  • This license exists only for the purpose of operating and providing the Service to you
  • This license terminates when you delete your Content or close your account (subject to reasonable backup retention periods)

6.2 Input and Output Ownership

Definitions:

  • "Input" means the content you provide to the Services (e.g., audio recordings, text, meeting information)
  • "Output" means the content generated by the Services based on your Input (e.g., transcripts, summaries, action items, insights)
  • Together, Input and Output are "Content"

Ownership of Input and Output:

  • As between you and KenzNote, you retain ownership of your Input and you own the Output
  • KenzNote may use Input and Output only as needed to operate and provide the Services

AI Training Prohibition:

  • KenzNote does not use your Input or Output to train, customize, or improve our artificial intelligence models
  • KenzNote does not use Input or Output to train or improve any AI models, and our vendors are not permitted to use such Content for their own model training or improvement
  • Our vendors and service providers are not authorized to process or use any User Content from our Services for their purposes to train, customize or improve their own artificial intelligence models
  • Any use of the User Content will be solely in connection with helping us provide and deliver the Services to you

6.3 Confidentiality

Mutual Confidentiality Obligations:

A Party ("Receiving Party") shall keep in strict confidence all technical or commercial information, know-how, specifications, inventions, processes, contents or initiatives which have been disclosed to the Receiving Party by the other party, its employees, agents, affiliates or subcontractors ("Disclosing Party"), and any other information concerning this Agreement, the relationship between the Parties, clients, or the Disclosing Party's business, products and services, which the Receiving Party may obtain or gain access to ("Confidential Information").

Obligations:

  • The Receiving Party shall only disclose such Confidential Information to those of its employees, agents, affiliates and subcontractors who need to know it for the purpose to provide the Services
  • The Receiving Party shall ensure that such employees, agents, affiliates and subcontractors comply with the obligations set out in this clause
  • The Receiving Party may also disclose Confidential Information as is required to be disclosed by law, any governmental or regulatory authority or by a court of competent jurisdiction

Survival:

  • The obligations under this clause with reference to Confidential Information shall survive the termination of the Services, in perpetuity

Public Announcements:

  • No Party shall make, or permit any person to make, any public announcement concerning this Agreement without the prior written consent of the other Party

6.4 Your Responsibilities Regarding Content

You are responsible for:

  • All Content you submit, upload, post or store through the Service
  • Archiving your Content frequently
  • Any lost or unrecoverable Content
  • Providing all required and appropriate warnings, information and disclosures
  • Ensuring you have the right to upload and share the Content
  • Not infringing third-party intellectual property rights

KenzNote is not responsible for:

  • The Content or data you submit through the Service
  • Editing, screening or controlling any User Content
  • Monitoring User Content or third-party content on the Service, except as you may request (e.g., to respond to support requests and provide support services)

6.5 Copyright Protection

Our Commitment:

  • We do not permit copyright-infringing activities on the Service
  • We do not:
    • (a) edit, screen or control any User Content; or
    • (b) monitor any User Content or third-party content on the Service or the use of the Service or any content, except as you may request, such as to respond to your support requests and provide support services

6.6 KenzNote Intellectual Property

Ownership:

  • KenzNote owns all rights, title, and interest in and to the Service, including:
    • The software, technology, and infrastructure
    • KenzNote trademarks, logos, and branding
    • Documentation, designs, and user interfaces
    • All improvements, enhancements, and derivative works

Restrictions:

  • You may not modify, adapt or hack the Service
  • You may not modify another website so as to falsely imply that it is associated with the Service, KenzNote, or any other Service
  • You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by KenzNote
  • You must not use, display, screenshot, copy, upload, transmit, mirror or frame the Service, or any individual element within the Service, KenzNote's name, any KenzNote trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without KenzNote's express written consent

6.7 Feedback

If you provide KenzNote with any feedback, suggestions, or ideas about the Service ("Feedback"):

  • You grant KenzNote a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback into our Service
  • No compensation will be provided for Feedback
  • Feedback is voluntary and non-confidential

6.8 DMCA Copyright Policy

Digital Millennium Copyright Act Compliance:

KenzNote respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA").

Reporting Copyright Infringement:

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through the Service, please notify KenzNote's copyright agent, as set forth in the DMCA.

For your complaint to be valid under the DMCA, you must provide the following information in writing:

  1. An electronic or physical signature of a person authorized to act on behalf of the copyright owner
  2. Identification of the copyrighted work that you claim is being infringed
  3. Identification of the material that is claimed to be infringing and where it is located on the Service (URL or description)
  4. Information reasonably sufficient to permit KenzNote to contact you, such as your address, telephone number, and email address
  5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law
  6. A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner

7. Privacy and Data Protection

Use of the Service is governed by our Privacy Policy.


8. Third-Party Services

Third-Party Integrations:

  • The Service may integrate with third-party platforms and services (e.g., Zoom, Google Meet, Microsoft Teams, Google Calendar, Microsoft Outlook)
  • Your use of third-party services is subject to their own terms and privacy policies
  • KenzNote is not responsible for third-party services, their availability, functionality, or data practices

Third-Party Vendors:

  • You understand that KenzNote uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service
  • For a list of third-party service providers, please see our Privacy Policy

No Endorsement:

  • KenzNote does not endorse, warrant, or guarantee any third-party service
  • Any issues with third-party services should be directed to the third-party provider

8a. EU Customers

Data Processing Agreement:

All EU Customers should contact KenzNote directly at [email protected] for a written data processing agreement pursuant to the GDPR.

Indemnification for Data Subject Claims:

The following terms apply to EU Customers: If a Data Subject or Data Protection Authority brings a claim directly against KenzNote for a violation of any Data Subject rights related to Customer's use of the Services, Customer will indemnify KenzNote for any cost, charge, damages and expenses or loss arising from such a claim.

GDPR Compliance:

KenzNote is committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. For more information about how we process personal data, please see our Privacy Policy.


8b. General Conditions

Service Provision:

  • Your use of the Service is at your sole risk
  • The Service is provided on an "as is" and "as available" basis

Support:

  • Support for Service services is available in English via email at [email protected]
  • Enterprise customers may have access to additional support channels per their Enterprise Agreement

Technical Processing and Transmission:

  • You understand that the technical processing and transmission of the Service, including your Content, may:
    • Be transferred unencrypted over various networks
    • Involve transmissions over various networks
    • Undergo changes to conform and adapt to technical requirements of connecting networks or devices
  • We implement industry-standard security measures, but cannot guarantee absolute security during transmission (see Section 6 of Privacy Policy)

No Service Modification:

  • You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, KenzNote, or any other Service

Bandwidth and Resource Usage:

  • If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by KenzNote) of other KenzNote customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption
  • Excessive resource usage may result in account suspension or additional charges

Recording Consent Responsibility:

  • KenzNote shall not be responsible for obtaining or recording any consent related to call recordings
  • It is the sole responsibility of the User to secure all necessary consents from all parties involved, in accordance with applicable laws and regulations
  • Any failure by the User to obtain the required consents, or any consequences arising therefrom-including legal, financial, or reputational liabilities-shall be the exclusive responsibility of the User
  • By using this Service, the User agrees to indemnify and hold KenzNote harmless from any and all claims, damages, or liabilities related to the recording of calls without proper consent

No Spam or Malware:

  • You must not upload, post, host, or transmit unsolicited email, SMSs, or "spam" messages
  • You must not transmit any worms or viruses or any code or compiled software of a destructive nature

No Warranties Regarding Service Quality:

KenzNote does not warrant that: (i) The Service will meet your specific requirements (ii) The Service will be uninterrupted, timely, secure, or error-free (iii) The results that may be obtained from the use of the Service will be accurate or reliable (iv) The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations (v) Any errors in the Service will be corrected

10. Warranties and Disclaimers

10.1 Disclaimers

THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, KENZ NOTE EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

KENZNOTE MAKES NO WARRANTY THAT THE SERVICE OR SITE CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. KENZNOTE MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICE OR SITE CONTENT PURCHASED OR OBTAINED THROUGH THE SERVICE OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE.

KENZNOTE DOES NOT WARRANT THE RESULTS OF USE OF THE SERVICE, AND USERS OF THE SERVICE ASSUME ALL RISK AND RESPONSIBILITY WITH RESPECT THERETO.

THIRD-PARTY INFRASTRUCTURE DISCLAIMER:

USERS OF THE SERVICE SHOULD NOTE THAT IN USING THE SERVICE, SENSITIVE INFORMATION WILL TRAVEL THROUGH THIRD-PARTY INFRASTRUCTURES WHICH ARE NOT UNDER KENZNOTE'S CONTROL (SUCH AS THIRD-PARTY SERVERS AND THE INTERNET). KENZNOTE MAKES NO WARRANTY WITH RESPECT TO THE SECURITY OF SUCH THIRD-PARTY INFRASTRUCTURES.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM KENZNOTE OR THROUGH THE SERVICE, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

10.2 User Interactions and Responsibility

YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICE.

YOU UNDERSTAND THAT EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, KENZNOTE DOES NOT SCREEN OR INQUIRE INTO THE BACKGROUND OF ANY USERS OF THE SERVICE, NOR DOES KENZNOTE MAKE ANY ATTEMPT TO VERIFY THE STATEMENTS OF USERS OF THE SERVICE.

KENZNOTE MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OF THE SERVICE OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS OF THE SERVICE.

YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICE, PARTICULARLY IF YOU DECIDE TO MEET OFFLINE OR IN PERSON.


10a. Third-Party Disputes

Release from Liability:

KenzNote is not affiliated with any other User or third-party service provider, and any dispute you have with any such third party arising from your use of the Service, including, without limitation, your employer, meeting participants, or third-party platform providers, is directly between you and such third party.

YOU IRREVOCABLY RELEASE KENZNOTE (and our directors, officers, subsidiaries, affiliates, agents and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Examples of Third-Party Disputes:

  • Disputes with your employer regarding recorded meetings
  • Disputes with meeting participants regarding consent to record
  • Disputes with third-party platforms (Zoom, Teams, etc.) regarding their terms
  • Disputes with other users of the Service

11. Limitation of Liability

11.1 Acknowledgment of Risk

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE REMAINS WITH YOU.

11.2 Exclusion of Certain Damages

EXCEPT FOR THE INDEMNITY OBLIGATIONS SET FORTH HEREIN, UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SYSTEM FAILURE OR NETWORK OUTAGE, WILL EITHER KENZNOTE OR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE OR SITE CONTENT BE LIABLE FOR ANY:

  • INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES
  • LOST PROFITS
  • LOSS OF DATA OR LOSS OF GOODWILL
  • SERVICE INTERRUPTION
  • COMPUTER DAMAGE OR SYSTEM FAILURE
  • COST OF SUBSTITUTE PRODUCTS OR SERVICES
  • DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS

ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE OR SITE CONTENT, OR FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER USERS OF THE SERVICE OR OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT KENZNOTE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11.3 Cap on Liability

EXCEPT FOR THE INDEMNITY OBLIGATIONS SET FORTH HEREIN, IN NO EVENT WILL KENZNOTE'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE OR SITE CONTENT EXCEED THE GREATER OF:

(A) THE AMOUNTS YOU HAVE PAID TO KENZNOTE FOR USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD)

11.4 Basis of the Bargain

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN KENZNOTE AND YOU.

11.5 Jurisdictional Variations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.


12. Indemnification

12.1 Indemnification by You

You agree to defend, indemnify, and hold harmless KenzNote, its officers, directors, employees, agents, affiliates, and subsidiaries from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  1. Your access to or use of the Service – Any claim arising from your use of the Service
  2. Violation of these Terms – Any breach of these Terms of Service, including without limitation any breach of any representations or warranties herein
  3. Infringement of intellectual property – Any infringement by you of KenzNote's intellectual property rights
  4. Third-party claims – Any claim by a third party that your Content infringes such third party's intellectual property rights or violates their rights
  5. Recording consent failures – Any claim arising from your failure to obtain proper consent to record meetings or conversations
  6. Violation of laws – Your violation of any applicable law or regulation
  7. Your Content – Any claim arising from Content you upload, post, or transmit through the Service
  8. Data processing – For EU Customers: Any cost, charge, damages and expenses or loss arising from a Data Subject or Data Protection Authority claim related to your use of the Services

12.2 Indemnification by KenzNote

KenzNote will defend, indemnify and hold you (and in the case of a Corporate User, your directors, officers, employees and affiliates) harmless from and against any and all costs, liabilities, losses and expenses (including but not limited to reasonable attorneys' fees), resulting from any claim, suit, action or proceeding alleging that the Service or any portion thereof infringes any patent, copyright or other intellectual property, proprietary, or other right of any third party.

Exception: This indemnification does not apply if the infringement arises from:

  • Your misuse of the Service
  • Your violation of these Terms
  • Your Content uploaded to the Service
  • Modifications you made to the Service

12.3 Indemnification Procedure

If you are obligated to indemnify KenzNote:

  • KenzNote will promptly notify you of the claim
  • You will have the right to control the defense and settlement of the claim
  • KenzNote may participate in the defense at its own expense
  • You may not settle any claim without KenzNote's prior written consent if the settlement requires KenzNote to admit liability or make any payment

13. Dispute Resolution

Disputes resolved through:

  • Informal resolution
  • Binding arbitration (where applicable)

14. Class Action Waiver

Claims must be brought individually.
Opt-out available within 30 days.


15. Export Control and Sanctions

Use of the Service must comply with export laws and sanctions.

Includes severability, assignment, force majeure, notices, and governing law.
